Terms of Service

1. Acceptance of Terms

By accessing or using AssignRide Dispatch ("the Service," "we," "us"), operated by AEM Spectrum Consulting LLC, you ("User," "you," "your organization") agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

If you do not agree to these terms, do not access or use the Service.

2. Description of Service

AssignRide Dispatch is a schedule generation tool designed for transportation operators. It allows users to upload driver manifest PDF files, extract rider and trip data, match that data against user-supplied rate tables, and generate formatted driver and monitor payment schedules.

The Service processes uploaded files server-side and does not permanently store PDF content, rider names, addresses, or trip data beyond the duration of a single processing session.

3. Eligibility

The Service is intended for use by transportation operators, dispatchers, and administrative staff who are authorized by their organization to process driver scheduling and payment data. You must be at least 18 years old and have legal authority to process the data you upload.

4. User Responsibilities

You are solely responsible for:

  • Ensuring you have the legal right to upload and process the manifest files and any personal data they contain.
  • Obtaining any required consents from drivers, monitors, and riders whose data appears in uploaded files.
  • Verifying the accuracy of all generated schedules before distributing them. The Service provides output for reference only — payment decisions remain your responsibility.
  • Maintaining the confidentiality of your rate CSV files, which may contain proprietary compensation data.
  • Complying with all applicable federal, state, and local laws governing the handling of personal information, including HIPAA if your operations involve medical transportation.
  • Retaining copies of payment records as required by applicable labor and payroll laws.

5. HIPAA and Medical Transportation

If your organization provides Non-Emergency Medical Transportation (NEMT) or any other service where rider information may constitute Protected Health Information (PHI) under the Health Insurance Portability and Accountability Act (HIPAA), you acknowledge that:

  • You are responsible for determining whether your use of the Service triggers HIPAA obligations.
  • A Business Associate Agreement (BAA) may be required before using the Service with PHI. Contact us at legal@assignride.com to request a BAA.
  • You should not upload manifests containing PHI to the Service until a BAA is in place.
  • AssignRide Dispatch implements reasonable technical safeguards but does not guarantee HIPAA compliance without a signed BAA.

6. Data Processing and Privacy

Uploaded PDF files are processed in memory on our servers solely to extract and return schedule data to you. We do not retain, sell, share, or analyze the personal data contained in your manifests beyond what is necessary to fulfill a single processing request.

Rate and monitor CSV files you upload are held in your browser session only and are not transmitted to or stored on our servers unless you explicitly save them through a future account feature.

7. Accuracy Disclaimer

AssignRide Dispatch uses automated name matching and pattern recognition to extract data from PDF manifests. The accuracy of output depends on the quality and formatting of uploaded files. We do not guarantee that all rider names, trip counts, or rate assignments will be correct.

All generated schedules must be reviewed and verified by a qualified human operator before being used for payment, payroll, or compliance purposes. AssignRide Dispatch is not liable for payment errors, disputes, or losses arising from reliance on unverified generated output.

8. Intellectual Property

The Service, including its source code, design, algorithms, and documentation, is the intellectual property of AEM Spectrum Consulting LLC. You may not copy, modify, distribute, or reverse-engineer any part of the Service without express written permission.

Data you upload (manifests, rate tables, monitor assignments) remains your property. You grant AssignRide Dispatch a limited, temporary license to process that data solely to provide the Service.

9. Prohibited Uses

You agree not to use the Service to:

  • Upload files containing data you are not authorized to process.
  • Attempt to extract, scrape, or reverse-engineer the rate-matching logic or underlying algorithms.
  • Circumvent any security measures or access controls.
  • Use the Service in any way that violates applicable law, including privacy, labor, and anti-discrimination laws.
  • Resell or sublicense access to the Service without written authorization.

10. Limitation of Liability

To the fullest extent permitted by law, AEM Spectrum Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, payroll errors, labor disputes, or regulatory penalties, arising out of or related to your use of the Service.

Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless AEM Spectrum Consulting LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your processing of data you were not authorized to handle.

12. Modifications to Service and Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date above. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Worcester County, Massachusetts.
